Motors Kenya Ltd Operational Standards. Last updated April 7, 2026. By utilizing the Welsh Motors terminal, you agree to these commercial and legal protocols.

1. Acceptance of Terms

1.1 Agreement

By accessing or using Welsh Motors ("Platform"), a digital automotive marketplace operated by Welsh Motors Ltd ("We", "Our", "Us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

1.2 Modification

We reserve the right to modify these Terms at any time. Changes are effective immediately upon posting. Your continued use of the Platform constitutes acceptance of updated Terms.

1.3 Scope

These Terms apply to all users including buyers, dealers, administrators, and API consumers. Supplementary policies (Privacy Policy, Acceptable Use Policy) are incorporated by reference and form part of these Terms.

2. User Accounts

2.1 Account Creation

To use certain Platform features, you must create an account and provide accurate, complete, and current information. You are responsible for updating your profile information and maintaining its accuracy.

2.2 Credentials and Security

You are solely responsible for maintaining the confidentiality of your password and account credentials. You agree not to share access with unauthorized parties. You must notify sec@welsh.co.ke immediately if you suspect unauthorized access.

2.3 Account Liability

All activity conducted under your account is your responsibility. We are not liable for unauthorized access unless caused by our gross negligence. Repeated unauthorized access attempts may result in account suspension.

2.4 Eligibility

You must be at least 18 years old and have legal capacity to enter into binding agreements. Dealers must be registered business entities compliant with Kenya Revenue Authority (KRA) regulations.

3. Dealer Obligations

3.1 Accurate Listings

Dealers must publish truthful, accurate, and complete inventory information including vehicle specifications, mileage, condition, pricing, photographs, and availability status. Misleading listings violate these Terms and may result in listing removal or account suspension.

3.2 Contact Information

Dealers must maintain current, accurate contact information (phone, email, WhatsApp, physical address). Lead notifications will be sent to these channels; inaccurate information may result in missed business opportunities.

3.3 Response Obligations

Dealers agree to respond to buyer enquiries within 24 hours during business hours. Persistent non-responsiveness (3+ ignored enquiries per week) may trigger account review and potential suspension.

3.4 Inventory Accuracy

Dealers must mark vehicles as "Sold" or "Unavailable" within 48 hours of transaction. Expired or false availability status may be corrected by Welsh Motors without notice and could trigger dealer account warnings.

3.5 No Bait-and-Switch

Vehicle pricing, condition, mileage, and availability in listings must match actual inventory. Last-minute price changes or unavailability claims not reflected in listing violate these Terms.

4. Buyer Obligations

4.1 Truthful Enquiries

Buyers must make enquiries in good faith and not send spam, solicitation, or misleading requests. Sending automated or duplicate enquiries violates these Terms.

4.2 Lead Integrity

Lead notifications are provided as informational tools. We do not guarantee transaction completion. Buyers agree that dealers may contact them regarding enquiries and may opt out via account settings.

5. Prohibited Conduct

5.1 Offensive Content

Users must not post content that is discriminatory, hateful, sexually explicit, defamatory, or promotes illegal activity.

5.2 Data Scraping

Automated scraping, crawling, or extraction of Platform data without explicit permission is prohibited. Violators may face legal action and account termination.

5.3 API Abuse

API access is provided for authorized integrations only. Rate limiting, bot detection, and account restrictions will be enforced on abusive or unauthorized usage.

5.4 Account Attacks

Users must not attempt to gain unauthorized access, circumvent security measures, conduct SQL injection, cross-site scripting, or other cyber attacks.

5.5 Impersonation

Misrepresenting identity, roleplaying as Welsh Motors staff, or falsifying credentials is prohibited.

5.6 Spam and Harassment

Unsolicited mass messaging, spam, or harassment of other users is prohibited and will result in account suspension.

6. Payments and Billing

6.1 Subscription Terms

Subscription plans (Starter, Pro, Enterprise) are billed monthly or as agreed. Recurring charges will be processed on renewal date unless subscription is cancelled.

6.2 Non-Refundable Fees

Fees already incurred as of the cancellation date are non-refundable except where required by applicable law or Welsh Motors's explicit written policy. Cancellation is effective at end of current billing cycle.

6.3 Payment Methods

We accept M-Pesa (STK Push), credit cards (Pesapal), and bank transfer. Payment processing is handled by authorized third-party providers. Declined payments may result in service suspension.

6.4 Price Changes

We may modify subscription pricing with 30 days' notice. Existing subscribers will continue at current rate until next renewal.

6.5 Invoicing

Digital invoices are provided via account dashboard. Dealers are responsible for maintaining records for tax and accounting purposes.

7. Intellectual Property

7.1 Platform IP

All content, design, functionality, and technology comprising the Platform are the exclusive property of Welsh Motors and protected by Kenyan and international copyright law.

7.2 User License

We grant you a limited, non-exclusive, revocable license to use the Platform for its intended purpose. This license does not permit resale, redistribution, or derivative works.

7.3 User Content

By posting listings, photos, or descriptions, dealers retain ownership but grant Welsh Motors a worldwide, perpetual, royalty-free license to use, reproduce, and display this content on the Platform and in promotional materials.

8. Limitation of Liability

8.1 As-Is Service

The Platform is provided "AS IS" without warranties of any kind. We do not warrant uninterrupted service, error-free operation, or fitness for particular purposes.

8.2 Transaction Disputes

We are not party to transactions between buyers and dealers. We disclaim all liability for disputes over pricing, vehicle condition, delivery, payment, or non-completion of sales.

8.3 Third-Party Services

We integrate with third-party payment processors, SMS providers, and analytics services. Interruptions caused by these providers are beyond our control; we are not liable for outages or failures.

8.4 Data Loss

While we implement reasonable security measures, we are not liable for unauthorized access, data breaches, or loss of data. Users should maintain backups of critical information.

8.5 Indirect Damages

To the fullest extent permitted by law, Welsh Motors is not liable for indirect, incidental, special, consequential, or punitive damages including lost profits, loss of data, or reputational harm.

8.6 Liability Cap

Our total liability to you shall not exceed the fees you paid to Welsh Motors in the 12 months preceding the claim, or KES 10,000, whichever is greater.

9. Indemnification

9.1 User Indemnity

You agree to indemnify and hold harmless Welsh Motors, its officers, employees, and agents from any third-party claims, damages, costs, and attorney fees arising from your use of the Platform, your content, or your breach of these Terms.

10. Termination and Suspension

10.1 User Termination

You may terminate your account by contacting sec@welsh.co.ke. Upon termination, your listings and account data will be accessible for 30 days before permanent deletion.

10.2 Welsh Motors Termination

We may suspend or terminate your account immediately for violations of these Terms, including prohibited conduct, violation of law, or non-payment. Repeated violations may result in permanent ban.

10.3 Effect of Termination

Upon termination, your right to use the Platform ceases immediately. Provisions regarding liability, indemnification, and intellectual property survive termination.

11. Governing Law and Disputes

11.1 Jurisdiction

These Terms are governed by the laws of Kenya without regard to conflicts of law principles. You consent to the exclusive jurisdiction of courts in Nairobi, Kenya.

11.2 Dispute Resolution

Before pursuing litigation, you agree to attempt good-faith resolution through sec@welsh.co.ke. Disputes not resolved within 30 days may proceed to court.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and Welsh Motors regarding the Platform.

12.2 Severability

If any provision is found invalid or unenforceable, it will be removed or modified minimally to make it enforceable, and remaining provisions shall remain in full effect.

12.3 No Waiver

Our failure to enforce any provision does not constitute waiver of that provision or any other provision.

12.4 Assignment

These Terms may not be assigned by you without written consent. Welsh Motors may assign its rights and obligations to any successor or affiliates.

These terms are governed by the laws of the Republic of Kenya. Any unauthorized use of the Welsh Motors infrastructure may result in protocol suspension and legal action.
